Each company must have a board of directors. From an operational point of view, it often makes sense for at least one director to be in Poland.
If you do not want to recruit a local director we can nominate a senior, professionally qualified individual to act as a nominee director. The scope of that persons authority can be clearly set. For example, the nominee may be authorized only to sign certain formal documents or to deal with local payments only up to a certain amount.
We can provide this support on an ongoing basis or for a short period following acquisition of a shelf company. Often, during the first stages of market entry following purchase of a new company, this can be useful.

Unwanted Companies
When a company or partnership reaches the end of its usefulness, we can assist with the whole process of winding-up the company. As an alternative (favoured by many clients), we can purchase the unwanted company, delivering an immediate exit for the shareholders and directors.

Because liquidation proceedings can be lengthy, time consuming and costly, a company owner may prefer to have an immediate exit from involvement in the company. We offer this solution. We purchase the unwanted company and then liquidate it ourselves.

- removal of the shares from the shareholders balance sheet

This eliminates:
- management involvement in lengthy winding-up proceedings
- continuing costs

After we take over ownership of the shares in the company we proceed to liquidate the company ourselves without the further involvement of the owner.
Of course, these services are undertaken against an agreed fixed fee.
Liquidation
If we do not acquire the shares in the unwanted company, we can be engaged to:
- accept formal appointment as liquidator
- manage the liquidation process
- supervise asset disposals
- make payments to creditors
- liaise with liquidation accountants
- agree and process third party liquidation costs
- file de-registrations and other formal notifications
- handle the preparation of all required documentation
