The Startupoverseas TeamI plan to relocate from Italy to Portugal within a year, but want to start a single member (just me) private limited company in Jersey (UK). I chose this structure since according to gov.je there is no corporation tax and distributions (or dividends) are further exempt from personal income tax. In short, since I would be living in Portugal and working online, should I setup an offshore company? Is this simpler? Or, could I start out self employed and still benefit from the same tax break since I am a non resident and since actually working in Jersey? Hi, I just need two pieces of information. The first piece is regarding setting up a mobile food business, like a food truck in turkey. I have seen them around so I would like to know what is required for a foreigner(American) to start that type of business. 1. Company set-up
We understand that you wish to establish a limited liability company in Hungary. The registration process starts with an information gathering phase for which we use the attached Questionnaire (please choose the appropriate one depending if the shareholder(s) will be private person(s) or entity(ies)) and would require that you complete it. After the details of the company are fixed, we would prepare the statutory corporate documents (deed of foundation, declarations, statements on business premises etc.). The share capital of the company shall be paid to the bank account of the company and then the application for the registration may be filed with the court of registration. You may find a detailed step plan and a description of the Hungarian limited liability company in the attachment.
Please note that in case a foreign entity is the shareholder of the company, the company registry extract thereof, not older than 3 months, is needed to be translated into Hungarian and filed along with the other corporate documents. The translation would be arranged by us in Hungary due to special requirements. In case you as a private individual would be the shareholder, no such requirements exist.
2. Immigration
A Non-EU citizen acting as director of the Hungarian company may acquire Hungarian residence permit for pursuing gainful activity here. He may also need to prove that he possesses the necessary financial means to sustain himself and later, if applying also for a family-reunification permit, his family as well. For this purpose, he may need to open a Hungarian private bank account and take out private health insurance.

I want to develop another product funded by revenues from my current product with personnel mostly hired from India. In the initial stages of the start-up, I want to keep the costs low but I want the team to be located physically closer to me than in India so I can travel to and fro that place from and to Las Vegas without an excessively long flight. If you will be physically operating in a certain state (paying employees, banking, signing contracts, etc.) if is definitely recommended that you be formally registered with the Secretary of State in that state. Most clients would start in the state where the majority of their initial business is and then if they need to register in additional states, they will do that later as it is required. The initial member(s) / Manager(s) of the LLC can be just 1 person. There may be differences in taxation depending on how many members there are. We suggest you obtain tax specialist advice regarding this matter. In general, US LLCs are taxed only on income earned in the US. If you formed a domestic LLC (rather than registering the existing company in the US as a foreign branch) then they would be 2 separate entities. Regarding transfer pricing, it is recommended that you consult a lawyer or tax professional

CarolineI am interested in starting up a health tourism company in Spain. A sort of health retreat. Initially I would prefer to keep capital low by renting accommodation and to initially start with it being seasonal; so only offering a week every so often. My current job allows me 2 weeks off every month. I would then like to hire some personal trainers to do the fitness side of things while I could provide the cooking/housekeeping. There would likely be 2-4 consultants at first and it is possible that number could expand over time. The entity would contract with our US company to provide the services. It is not envisioned at this time that they would be involved in any local sales or commercial activity other than providing their technical programing services to the US entity. The work would be performed on-line or delivered regularly over the internet and would be under the direction of technical resources from our company her in the US. The nature of the work is general computer programming, not subject to export restrictions. The entity would be owned by the US company. We do have familiarity with several Russian consultants, so it might be possible to have them serve in some capacity or perform some local administrative tasks if that is helpful. The consultants would be employees of the new entity. As such they would be subject to local taxes and the new entity would need to be registered in Russia, file taxes in Russia and remain compliant with local laws and regulations. Could you please advise me if your firm offers services that could assist us in this goal? Please outline what services you offer and/or recommend, together with their cost in US Dollars and how long the specific task would take (so that we could construct a time-line from engagement to the time that we would be up and operation in Russia with the new entity). I would also be interested in learning if your firm offers assistance with ongoing local tax reporting requirements; or in the alternative could you direct us to an appropriate resource? Ideally the deal would be a share for share exchange with the UK Private Limited Company acquiring 100% of the sro stock in exchange for the existing shareholders of the sro receiving shares in the UK private limited company. UK to UK we've done this before however am concerned about the hoops that are needed to be jumped through in Slovakia for this to be recognised by the Slovakian authorities. Would this transaction be along the lines of a UK to UK transaction (subject to notarised translations) or is there something more? Any advice would be gratefully received. Even if it is possible in theory this system of swap of parts, there is a serious possibility that the Slovak court will consider the Slovak Company just a branch of the UK company or/and reverse the UK company just a branch of the Slovak Company and making the real operations of the company legally impossible.
We like to remind that when a party owns 100% of a Slovak Company, such an owner looses the limited responsibility and become directly and unlimited responsible of the operations of this Company, in line with the most recent judgements of many EU Country Court regarding this matter.
Consequently this solution is only viable if for instance, the UK Company own 80% of the Slovak Company and the Slovak Company own a low minority interest in the UK Company, for instance 10%, just not to incur in the minority protection voting right conundrum which in some case is up to 75% (or reverse).
However , it would be more interesting to understand the purpose of this exercise, because certainly there are solution more effective and more in conformity with the Slovak Commercial Law, which comes from the Austro-Hungarian Imperial Laws, and are quite different from the UK relevant laws.
All relevant documents have to be presented to the Slovak Company Registrar, c/o the Slovak Regional Court, for approval and registration.
In general, If a document is not originated in Slovakia, has to be notarized with apostille and legally translated in Slovak in Slovakia.
All documents originated in Slovakia have to be notarized only.
All relevant signatures of the documents has to be notarized with apostille (if abroad) without apostille (if in Slovakia)
A director has to present at registration his/her criminal record certificate of his/her country of residence, which has to be duly legally translated in Slovak in Slovakia.
A company can have one or more directors, the directors are not required to be resident In Slovakia, but if they want they can become resident in Slovakia because they are directors (Slovak investment law).
We suggest always to form SRO (LLC limited by parts) and not AS (plc) because the possibilities are more or less the same but the AS needs compulsory of auditors, have a lot more of legal obligations, expenses, etc. (the LTD, i.e. company limited by shares is considered a plc)
In Slovakia we have only one tax (Corporate Tax on profit) now at 23% of net profit, taxed at source.

There are not limitations of who can be registered as part holder of a Slovak sro, providing that his/her part in the capital is not inferior to 750 EUR. Can be persons, companies, trusts, etc. It is always better to have at least two part holders, because if you have only one part holders, the company is regulated as an individual company, (in other words, in effect the sole partner is directly responsible of the acts of the Company in solid)
Normally we form company with a minimum nominal capital of 6000 EUR.

Not, you have only to show that the UK Company is existing

Dividends of Slovak Company are taxed at the source only ( 23% from 2013). Consequently, if you repatriate the dividend in UK, these dividend will be taxed again in UK, in the tax declaration/balance sheet of the UK Company.
The solution normally is to have the services of a nominee part holder company, so the dividends go in an account (not in UK, not offshore!) controlled by the UK Company , ,but not officially of the UK Company. In this case the net amount distributed is not taxed at all. We organize for the client the full tax scheme.
