  2. Hello, My business is 1-Shoppe and we sell hotel amenities, (little soaps, shampoos, and accessories for vacation rentals, hotels, motels, etc). We sell mostly on Amazon and are looking to expand from operations only in the USA to Mexico as well. We were advised that we need to have a mexican company as our importer of record. My wife is a dual USA/Mexico citizen so I know that she can start a Mexican LLC to be our importer or record.     Almost, there are no restrictions for schools with foreign owners. Although, you might need to get some licences.

    What kind of school? at what level? What will you be teaching?

    At the same time, you will have to look for the third party manufacturer.

    For new companies, the Banks does not provide any loans.
    You migh have to look for a loan in you home country.

My wife also sells products which she makes. I have become a Mexican citizen and have registered the business with SAT. I declare taxes every two months. We are US citizens and my husband is applying for dual citizenship with Mexico. We are wanting to open another retail shop just like it, but as a mobile retail business in Playa del Carmen.     You will need a full coverage insurance as well as third party insurance.

    Also you need a contract which has to be signed by your clients to avoid any lawsuit against you, employees and partners. This way, the client is on his/her own risk.

    It is imporant for your business cover al security conditions to provide a safety service.

    Approach to any Mexican watersport association to assure you cover all licences and permits requested to run the business.

    Yes. First you will need to have the business/company up and running. What kind of business are you planning?

    I am not sure what minimum do you refer to. Can you explain?

    For the working visa you do not need any income, just the paperwork of the company. For an investor visa you will need proof of funds. For stockholder you do not need proof of funds.

  22. Hello - My husband and I would like to move to Mexico to start up a restaurant in 2018. Would it be more cost effective to incorporate the LLC for the restaurant after we move there? What's the fees (including legal) if we form the business from Canada or in Mexico? #2. We plan on applying for a temporary resident visa from the consulate in Toronto, Canada but in terms of obtaining a work permit to be able to work at the restaurant, can that be obtained when we're in Mexico or does that have to be done from Canada?     Yes. Because, you will sign the incorporation of the LLC, that way you avoid to write Powers of Attorney and apostille/attested of documents..
    If you form the business from Mexico, you will avoid to write Powers of Attorney.
    What city are you planning to open the restaurant?
    It can be obtained when you are in Mexico, but at some point, it will be requested for you to go back to Canada and then return to Mexico.
    The LLC needs at leat 2 stockholders.
    What nationality are the stockholders? Where do they were born (birth certificate)?

    First, you have to open a franchise, where I can provide you with advice an consulting.

We are a small company but in business for 25 years selling to gift shops, zoos museums botanical gardens around the world and want to expand to emerging economy.     I would recomend to open a Mexican Company for Services (S.C. - Sociedad Civil), which will be used for your Working Visa.
    If you are paying commissions from the UK, directly to independent sales people in Mexico, they will be responsible for their own Mexican Taxes.

    For creating a company you need at least two stockholders for your company in Mexico, can be companies and/or persons.

    What will be the activity of your company in Mexico?

    At some point, you will have to come to Mexico for signing the constitution of the company. ARe you able to come to Mexico?

  60. Hey, I'm just wondering what are the legal implications of doing business in Mexico. First of all, I'm thinking of expanding a shoe business to Mexico.     The shoe business does not requere any different requirements then the regular for any other business.
    First, you have to build a Mexican company, where all could be foreign stockholders.
    Second, you will have to register the company for Taxes purposes with the Taxes Administration
    Third, the company will open a bank account, and register for Electronic Invoicing, Electronic Accounting, and Electronic Payroll
    Fourth, hiring employees will take you to registration for social security, payroll taxes, housing fund, and retirement fund.
    Finally, the coporate taxes are 30% and sales tax is 16%

    The first step is to créate a company. If the sotckholders are foreigners, they must have ID and documents translated in spanich and apositlle by an authorized Notary by the Mexican Embassy in your country. At least you have to have 2 stockholders could be persons or companies.
