  13. We are looking to enquire about setting up a Saudi Arabia Sales & Service Team. The intention is to establish a local Saudi Arabia Service Company, including the structure and legal entity to allow us to develop a complete local operating company and for service bookings to be taken through the local company. One option is to base this company in Dammam. The other option however is to understand whether I am looking to understand, the high level process that is required to make this happen. I am also keen to understand, if we were to set up the office in Bahrain, would we still be able to do business in Saudi? Or would there be any restrictions, additional taxes to pay as a result of this? I am looking for some information quite urgently, so if someone could come back to e quickly, it would be realty appreciated. Question from Paula Davidson on 09/08/2016

Please could you advise what obstacles must be overcome to achieve this goal that I will not be aware of? For example: I presume I must apply for residency to live in France. (if I stayed in France for 6 months a year will that affect anything?) Must I register the business before I begin I need enlightenment ;-) Yours Sincerely Kevin Rochlin Question from Kevin Rochlin on 03/08/2016

  15. I am a UK resident, holder of a British passport. Due to taxation reasons but also very recently because of the decision of Britain to exit the EU, I am interested in setting up a business in the Isle of Man. The business will be providing IT/software solutions and consultancy, tailored to clients primarily in the Healthcare industry. In the first instance, I will remain resident in England (as I currently am) but potentially I may be moving to the IoM (but this is not yet confirmed). My questions: (1) Is it possible for me to own/run the business whilst being resident in England? Do I have to be resident in the IoM to own/run the business? (2) As far as I know, businesses in the IoM can freely trade with the UK but also with the EU. Is this still the case? (3) Have you got any recommendations as to who could help me register my company in the IoM, do my bookkeeping etc.? Many thanks in advance. Question from Stelios Alexandrakis on 24/06/2016

  16. Facts We are a sole proprietership registered in India owned by Neeta Ramsisaria – my wife. A number of our customers are in the US – all across but largely in California/Bay Area. Some of these customers now require a US entity to do business with. We want to hire employees in the US to service these new customers. I went to school at UNC Chapel Hill and have a US Social Security Number, my wife doesn’t. Questions – again some more detail. What would be the best form of entity to be? Branch office of the proprietership of the current proprietership or LLC Where should this be registered – Delaware or California? Or some other Consideration – most of our customers are in California and We will hire employees most likely in California first. Who should be the members of the LLC Single owner – Neeta or Me – Alok Joint owners – Neeta and Alok Considerations Would our current business be treated as income accruing to this new entity or that would continue to be treated as separate entities? Would the transactions between the US and Indian entities be subject to transfer norm pricing? Question from RUCHI GANDHI on 21/03/2016

    Startup says:

    Thank you for your question!

This question has been answered by International Business Company Formation Inc http://www.startupoverseas.co.uk/starting-a-business-in-usa/introduction/international-business-company-formation-inc.html

Most international clients entering the US marketplace choose to form a domestic LLC rather than to register their current business as a foreign branch in the US. We usually recommend that the entity is established in the state where you will primarily doing business, so in your case, California. If you will be physically operating in a certain state (paying employees, banking, signing contracts, etc.) if is definitely recommended that you be formally registered with the Secretary of State in that state. Most clients would start in the state where the majority of their initial business is and then if they need to register in additional states, they will do that later as it is required. The initial member(s) / Manager(s) of the LLC can be just 1 person. There may be differences in taxation depending on how many members there are. We suggest you obtain tax specialist advice regarding this matter. In general, US LLCs are taxed only on income earned in the US. If you formed a domestic LLC (rather than registering the existing company in the US as a foreign branch) then they would be 2 separate entities. Regarding transfer pricing, it is recommended that you consult a lawyer or tax professional

  17. Hello, we would like to set up our limited private company in Jersey, however the business would take place in Czech Republic. Thus I would like to ask these questios: 1. Can a EU citizen set up a business in Jersey? 2. Do we need to be personally in Jersey to set up the company? 3. How does taxation work? If we pay taxes in Jersey, do we need to pay taxes in Czech Republic as well? 4. What are possible liabilities or disadvantages? Thank you. Question from Son Doan Minh on 23/02/2016

    Startup says:

Thank you for your message. This question has been answered by TBA & Associates

    http://www.startupoverseas.co.uk/starting-a-business-in-jersey/introduction/atrium--associates.html
1.Can a EU citizen set up a business in Jersey?
    Yes
    2. Do we need to be personally in Jersey to set up the company?
No, we shall take care of company registration and corporate bank account, in case client wish/need, remotely
    3. How does taxation work? If we pay taxes in Jersey, do we need to pay taxes in Czech Republic as well? 4. What are possible liabilities or disadvantages? Thank you.'
So that we may properly answer this question, we need the client to advise us what will be company business activity.
The standard rate of corporate tax in Jersey is 0%.

The exceptions to this standard rate are:

Financial service companies (defined in the Income Tax Law) which are taxed at 10%
Utility companies which are taxed at 20%
Income specifically derived from Jersey property rentals or Jersey property development taxed at 20%

  43. Dear Sir/Madam, Firstly thank you in advance for your time. I am resident of Jersey, and will soon be looking to set up a Limited Liability Company with the view to work on a contract basis as a Project Manager in the financial services sector. Whilst I will mainly be looking to contract here in the UK, on occasion I will hope to take short 6-8 month temporary contracts on the Island, should they rise. The ultimate aim is to return to Jersey permanently after 8-10 years of contracting in the UK, Jersey and Australia. My two questions for you are; is a Ltd Co. the best option for my proposed activities? And, is my best option to establish the company in Jersey rather than in the UK? I look forward to your response and appreciate any preliminary advice you may have with a view to seeking your assistance in carrying out this proposal. 64. I am interested in starting up a health tourism company in Spain. A sort of health retreat. Initially I would prefer to keep capital low by renting accommodation and to initially start with it being seasonal; so only offering a week every so often. My current job allows me 2 weeks off every month. I would then like to hire some personal trainers to do the fitness side of things while I could provide the cooking/housekeeping. The idea would be then for low risk I could assess the business idea before I completely commit to it. My question is then to do with legalities. I have an EU citizenship. I was thinking as running it through a UK business I have already as I will initially be advertising in the UK. So I am curious about the tax implication, licensing in Spain, insurance and any other issues. I have no idea where to start in researching this. Question from Nancy Wendel on 10/05/2014

  90. I represent a firm that is interested in starting a business in Russia to employ a few local technical computer development consultants to provide programming services for our company in the US. There would likely be 2-4 consultants at first and it is possible that number could expand over time. The entity would contract with our US company to provide the services. It is not envisioned at this time that they would be involved in any local sales or commercial activity other than providing their technical programing services to the US entity. The work would be performed on-line or delivered regularly over the internet and would be under the direction of technical resources from our company her in the US. The nature of the work is general computer programming, not subject to export restrictions. The entity would be owned by the US company. We do have familiarity with several Russian consultants, so it might be possible to have them serve in some capacity or perform some local administrative tasks if that is helpful. The consultants would be employees of the new entity. As such they would be subject to local taxes and the new entity would need to be registered in Russia, file taxes in Russia and remain compliant with local laws and regulations. Could you please advise me if your firm offers services that could assist us in this goal? Please outline what services you offer and/or recommend, together with their cost in US Dollars and how long the specific task would take (so that we could construct a time-line from engagement to the time that we would be up and operation in Russia with the new entity). I would also be interested in learning if your firm offers assistance with ongoing local tax reporting requirements; or in the alternative could you direct us to an appropriate resource? Your timely response would be greatly appreciated. Question from John OBrien on 04/04/2013

  93. Dear Startup Overseas Team, I am looking at expanding my niche UK business through an acquisition off a Slovak sro. Ideally the deal would be a share for share exchange with the UK Private Limited Company acquiring 100% of the sro stock in exchange for the existing shareholders of the sro receiving shares in the UK private limited company. UK to UK we've done this before however am concerned about the hoops that are needed to be jumped through in Slovakia for this to be recognised by the Slovakian authorities. Would this transaction be along the lines of a UK to UK transaction (subject to notarised translations) or is there something more? Any advice would be gratefully received. Thanks and regards, Rob Question from Rob Arnold on 21/03/2013

    Startup says:

Even if it is possible in theory this system of swap of parts, there is a serious possibility that the Slovak court will consider the Slovak Company just a branch of the UK company or/and reverse the UK company just a branch of the Slovak Company and making the real operations of the company legally impossible.
We like to remind that when a party owns 100% of a Slovak Company, such an owner looses the limited responsibility and become directly and unlimited responsible of the operations of this Company, in line with the most recent judgements of many EU Country Court regarding this matter.

Consequently this solution is only viable if for instance, the UK Company own 80% of the Slovak Company and the Slovak Company own a low minority interest in the UK Company, for instance 10%, just not to incur in the minority protection voting right conundrum which in some case is up to 75% (or reverse).
However , it would be more interesting to understand the purpose of this exercise, because certainly there are solution more effective and more in conformity with the Slovak Commercial Law, which comes from the Austro-Hungarian Imperial Laws, and are quite different from the UK relevant laws.
All relevant documents have to be presented to the Slovak Company Registrar, c/o the Slovak Regional Court, for approval and registration.
In general, If a document is not originated in Slovakia, has to be notarized with apostille and legally translated in Slovak in Slovakia.
All documents originated in Slovakia have to be notarized only.
All relevant signatures of the documents has to be notarized with apostille (if abroad) without apostille (if in Slovakia)
A director has to present at registration his/her criminal record certificate of his/her country of residence, which has to be duly legally translated in Slovak in Slovakia.
A company can have one or more directors, the directors are not required to be resident In Slovakia, but if they want they can become resident in Slovakia because they are directors (Slovak investment law).
We suggest always to form SRO (LLC limited by parts) and not AS (plc) because the possibilities are more or less the same but the AS needs compulsory of auditors, have a lot more of legal obligations, expenses, etc. (the LTD, i.e. company limited by shares is considered a plc)
In Slovakia we have only one tax (Corporate Tax on profit) now at 23% of net profit, taxed at source.

  99. Hi I have a UK Limited Company and have a couple of questions with regards to investing in a new business venture in Slovakia and hoping you can help. 1- In setting up a Slovakian SRO Company can the UK company be registered as a key shareholder. I am thinking of one person and the UK company as the two key shareholders at 50% each 2- In formulating the SRO Company in this way are there any added complications such as the UK Company Shareholders need to be registered in Slovakia etc 3- Does the dividend system work similar to the UK. Thus if the UK company has a share in the SRO Company can dividends on annual profits be declared or does this work differently with an SRO Company 4- If annual dividends are declared and paid in what country would the tax on that dividend be payable with the UK Company shareholders liable for taxation in the UK Many thanks and really hoping you can help Sean Question from Sean Savoy on 16/02/2013

    Startup says:

1- In setting up a Slovakian SRO Company can the UK company be registered as a key shareholder. I am thinking of one person and the UK company as the two key shareholders at 50% each

There are not limitations of who can be registered as part holder of a Slovak sro, providing that his/her part in the capital is not inferior to 750 EUR. Can be persons, companies, trusts, etc. It is always better to have at least two part holders, because if you have only one part holders, the company is regulated as an individual company, (in other words, in effect the sole partner is directly responsible of the acts of the Company in solid)
Normally we form company with a minimum nominal capital of 6000 EUR.

2- In formulating the SRO Company in this way are there any added complications such as the UK Company Shareholders need to be registered in Slovakia etc
Not, you have only to show that the UK Company is existing

3- Does the dividend system work similar to the UK. Thus if the UK company has a share in the SRO Company can dividends on annual profits be declared or does this work differently with an SRO Company
Dividends of Slovak Company are taxed at the source only ( 23% from 2013). Consequently, if you repatriate the dividend in UK, these dividend will be taxed again in UK, in the tax declaration/balance sheet of the UK Company.
The solution normally is to have the services of a nominee part holder company, so the dividends go in an account (not in UK, not offshore!) controlled by the UK Company , ,but not officially of the UK Company. In this case the net amount distributed is not taxed at all. We organize for the client the full tax scheme.

4- If annual dividends are declared and paid in what country would the tax on that dividend be payable with the UK Company shareholders liable for taxation in the UK Many thanks and really hoping you can help Sean'”
